These Terms of Service (“Terms”) govern your access to and use of the website operated by Gembee Jewelry (“Gembee”, “we”, “us”, or “our”) and any services, content, features, or products provided through @ychang123@googlemail.com (collectively, the “Services”). By visiting our Site and/or purchasing from us, you agree to be bound by these Terms and by any policies referenced here (e.g., our [Privacy Policy], [Returns & Refunds Policy], and [Shipping Policy]).

If you do not agree to these Terms, please do not use the Services.

Our store is hosted on Shopify Inc., which provides the online e-commerce platform that enables us to sell our products and Services to you.

1) Eligibility & Account

● By using the Services, you confirm you are at least the age of majority in your place of residence, or you have parental/guardian consent.

● You are responsible for keeping your account credentials confidential and for all activities under your account. Notify us immediately of any unauthorised use.

2) Acceptable Use

You agree not to:

● use the Services for any unlawful or unauthorised purpose;

● infringe intellectual property or privacy rights;

● upload or transmit malware, viruses, or destructive code;

● scrape, crawl, or harvest personal data without consent;

3) Products, Pricing & Availability

● Certain products may be available exclusively online and may have limited quantities.

● We make reasonable efforts to display colours and images accurately, but we cannot guarantee your device’s display.

● We may limit sales by person/household/region and limit quantities.

● Prices and product information are subject to change without notice.

● We may discontinue any product at any time.

● Errors, inaccuracies, or omissions (e.g., pricing, availability, shipping charges, transit times) may occur; we reserve the right to correct them and update/cancel orders accordingly (see Section 9).

4) Orders & Payment

● We may refuse, limit, or cancel any order at our discretion (including orders using the same account, payment method, billing or shipping address). If we modify or cancel an order, we’ll attempt to notify you via the contact details provided at checkout.

● You agree to provide current, complete, and accurate purchase and account information and to promptly update it.

● Payments are processed by our payment providers; by submitting a payment, you authorise the charge to your chosen method.

5) Shipping, Risk of Loss & Title

● Title and risk of loss pass to you upon delivery to the address you provided or upon collection by the carrier, as applicable.

6) Promotions & Gift Cards

● Promotions, discount codes, and offers are subject to their own terms, may be changed or withdrawn at any time, and are not transferable or redeemable for cash unless required by law.

● Gift cards (if offered) are subject to the terms provided at purchase and are not reloadable or refundable unless required by law.

7) Third-Party Services & Links

● The Services may include third-party tools, content, or links. We provide access “as is” and “as available” without warranties and with no endorsement.

● Your use of third-party offerings is at your own risk and subject to their terms and privacy notices.

8) User Content (Reviews, Comments, Submissions)

● If you submit content (e.g., reviews, photos, comments), you grant Gembee a worldwide, royalty-free, perpetual, irrevocable, sublicensable licence to use, reproduce, publish, distribute, translate, modify, and display such content in any media for lawful business purposes.

● You represent you own or control the rights to your submissions and that they do not violate any rights or laws. We may monitor, edit, or remove content at our discretion but are not obligated to do so.

9) Accuracy; Errors & Omissions

● Materials on the Site are for general information only. We do not guarantee that the information is accurate, complete, or current.

● We may correct errors or update information (including after you’ve submitted an order) without prior notice where permitted by law.

10) Privacy & Cookies

11) Intellectual Property

● All content on the Services (including text, graphics, logos, product names, images, software, and the compilation thereof) is owned by or licensed to Gembee and protected by applicable IP laws.

● You may not copy, reproduce, sell, resell, exploit, modify, or create derivative works from the Services or their content without our prior written consent, except as permitted by law.

12) Disclaimer of Warranties

Except as expressly stated by us in writing and to the maximum extent permitted by law, the Services and all products are provided “as is” and “as available”, without warranties of any kind—express or implied—including merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.

13) Limitation of Liability

To the fullest extent permitted by law, Gembee Jewelry and its officers, directors, employees, agents, affiliates, suppliers, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits, lost revenue, lost savings, data loss, replacement costs) arising from or related to your use of the Services or any products, even if advised of the possibility.
Where liability cannot be excluded under applicable law, our total liability shall be limited to the amount you paid for the relevant product(s) or £100, whichever is greater. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited or excluded under applicable law.

14) Suspension & Termination

We may suspend or terminate your access to the Services at any time (with or without notice) if we reasonably believe you have violated these Terms or applicable law. Obligations accrued before termination (including payment obligations) survive termination.

15) Severability & No Waiver

If any provision of these Terms is found unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted and the remainder will remain in effect. Our failure to enforce any right or provision is not a waiver of such right or provision.

16) Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms at any time to an affiliate or in connection with a merger, acquisition, or sale of assets.

17) Force Majeure

We are not liable for any delay or failure to perform due to events beyond our reasonable control, including acts of God, labour disputes, epidemics, war, terrorism, supply chain disruptions, or failures of third-party networks or services.

18) Governing Law & Jurisdiction

These Terms and any disputes or claims (contractual or non-contractual) arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, except that consumers residing in the UK/EU may enjoy mandatory consumer protections of their place of residence and may bring claims in their local courts as required by law.

19) Changes to the Services or Terms

We may update, change, or replace any part of the Services or these Terms by posting updates on this page. Your continued use after changes are posted constitutes acceptance of the revised Terms.
